Terms of Service
Effective August 5, 2026
These terms govern use of 108 OS Financial, a private internal application operated by 108 Performance Holdings, LLC ("the Company"). By accessing the application, an authorized user agrees to these terms.
1. Internal application
108 OS Financial is not a commercial product. It is not offered, sold, licensed, or made available to the public, to clients of the Company, or to any third party. It is not listed on the QuickBooks App Store. Access is limited to officers, directors, employees, and advisors of the Company who have been individually authorized.
2. Permitted use
Authorized users may use the application solely to view and analyze the Company's own accounting information for management, board, audit, tax, and financing purposes. Users may not share credentials, extract data for use outside the Company, or grant access to any person who has not been authorized.
3. Read-only operation
The application retrieves data from QuickBooks Online and does not write to it. It creates, modifies, and deletes nothing in the accounting system of record. QuickBooks Online remains the authoritative source for all accounting records, and any correction to the books is made in QuickBooks Online by the Company's accounting personnel, never through this application.
4. Authorization and revocation
Connection to a QuickBooks Online company requires authorization by an administrator of that company. Authorization may be revoked at any time from within QuickBooks Online, which immediately terminates the application's access. The Company may also suspend or terminate any user's access to the application at any time and for any reason.
5. Accuracy and reliance
Figures presented by the application are derived from the Company's accounting records and are provided for internal information. They may be unaudited, may lag the books, and may be affected by adjusting entries made after retrieval. Nothing produced by the application constitutes an audited financial statement or a representation to any third party unless it has been separately reviewed and approved for that purpose by the Company. The application is provided as is, without warranty of any kind.
6. Confidentiality
All information accessible through the application is confidential information of the Company. Authorized users must protect it in accordance with their obligations to the Company and applicable confidentiality or employment agreements.
7. Third-party services
The application relies on services provided by Intuit Inc. and by the Company's hosting, database, and automation providers. Use of those services is subject to their own terms. The application is not affiliated with, endorsed by, or sponsored by Intuit Inc.
8. Limitation of liability
To the fullest extent permitted by law, the Company is not liable for any indirect, incidental, or consequential damages arising from use of, or inability to use, the application.
9. Governing law
These terms are governed by the laws of the State of Tennessee, without regard to its conflict of law provisions.
10. Changes
The Company may revise these terms. The effective date above reflects the most recent revision, and continued use of the application constitutes acceptance.
